THESE OFFICIAL RULES ARE FOR CANADIAN PARTICIPANTS ONLY.
THIS PROMOTION IS DESIGNED AS A SKILL CONTEST. NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED BY LAW. EXCEPT FOR THE MARKS OF THE SPONSOR (ADDRESSED BELOW), USE CAUTION AND COMMON SENSE WHEN PARTICIPATING IN THIS PROMOTION. RESPECT AND ENSURE THE SAFETY OF YOURSELF AND OTHERS. DO NOT TRESPASS OR HARM ANYONE’S PROPERTY.
ENTRY MUST NOT CONTAIN ANY THIRD-PARTY TRADEMARKS, LOGOS, TRADE DRESS OR PROMOTION OF ANY BRAND, PRODUCT, OR SERVICE.
ELIGIBILITY: Canada Red Bull Basement University: Stage One Contest (the “Contest”) begins on September 1, 2021 at 12:01 a.m. Eastern Time (“ET”) and ends on November 2, 2021 at 11:59 p.m. ET (“Contest Period”). During the Contest Period:
• the Entry Period (the “Entry Period”) begins on September 1, 2021 at 7:00:00 a.m. ET and ends on October 24, 2021 at 5:59:59 p.m. ET;
• the Social Voting Period (the “Voting Period”) begins on September 1, 2021 at 7:00:00 a.m. ET and ends on October 24, 2021 at 5:59:59 a.m. ET;
• the Judging Period (the “Judging Period”) begins on October 25, 2021 at 12:00:00 a.m. ET and ends on October 28, 2021 at 11:59:59 p.m. ET; and
• the Winner Announcement Period (the “Winner Announcement Period”) begins on October 29, 2021 at 12:00:00 a.m. ET and ends on November 2, 2021 at 11:59:59 p.m. ET.
The time shall be determined by Sponsor’s timekeeping systems, and Sponsor may also rely on the time processing functions of third parties. Sponsor shall have the sole discretion in determining the timeliness of any action or inaction related to this Contest.
The Contest is open to: (i) legal residents of Canada; (ii) who are at least the legal age of majority in their jurisdiction of residence (18 or 19 years of age, depending on the Canadian jurisdiction) as of the date of entry; and (iii) are, at the time of entry, enrolled as a student at post-secondary institution in Canada (each, a “Qualifying Post-Secondary Institution”). Void where prohibited. Employees of Red Bull Canada Ltd. (“Sponsor”), and its parent companies, subsidiaries, affiliates, advertising agencies, public relations agencies, prize suppliers, including any vendors providing services in connection with this Contest (collectively, the “Sponsor Affiliates”), and employees, representatives, agents, directors, officers (including members of their immediate family – i.e., spouse, mother, father, in-laws, grandmother, grandfather, brother, sister, children and grandchildren – or those living in the same household) of Sponsor or any Sponsor Affiliates are not eligible to participate in the Contest. Contest is subject to all applicable federal, state, and local laws.
TO ENTER: No purchase necessary. To enter the Contest, complete the following steps during the Entry Period:
1. Visit www.redbullbasement.com (the “Website”) and follow all posted instructions to complete the entry form.
2. Create one (1) unique and original video (maximum length: sixty (60) seconds) that details your (or your Team’s) project idea (your “Idea”) as described on the Website (the “Theme”).
3. Upload and submit your video entry to the Website, in accordance with the instructions described on the Website (collectively, your “entry”).
IMPORTANT NOTE: For the purposes of this Contest, you can enter as: (i) an individual; or (ii) as part of a team (a “Team”) consisting of two (2) eligible participants. There is no limit to the number of entries per person/Team – but each entry must be unique and original (i.e. you cannot submit the same, or substantially the same, video, project or other entry materials more than one (1) time in this Contest).
All entries must be received during the Entry Period (i.e., by October 24, 2021 at 5:59:59 p.m. ET). Once You have uploaded and submitted your entry, it will be published on the Website after it has been reviewed by the Sponsor, for social voting and judging as set out below.
To be eligible, all content and materials associated with your entry must: (i) be submitted and received in accordance with these Rules during the Entry Period; (ii) include all required components and materials noted above; (iii) reflect the Theme; and (iv) be in accordance with these Official Rules, including, but not limited to, the specific requirements listed below (all as determined by Sponsor in its sole and absolute discretion). Sponsor is not responsible for lost, late, misdirected entries or entries not received regardless of cause. In the event of a dispute over who submitted an entry, the entry will be deemed to have been directly submitted by the authorized account holder of the relevant account used to enter the Contest. The authorized account holder is deemed to be the natural person who is assigned to the account by the relevant entity responsible for assigning those accounts. By entering and/or participating, entrants agree to be bound by these Official Rules and Sponsor’s website Terms of Use Privacy Policy as set forth in these Official Rules. REQUIRED REPRESENTATIONS AND WARRANTIES: You must meet all of the following as applicable to your entry. Failure to do so may result in your or your Team’s disqualification.
By entering, you (and if entering as a Team, each participant of your Team) represent and warrant with regard to your Idea, video, and all other content and materials associated with your entry:
(i) It is your own original work or you must have all the rights necessary to post or re-post the content. Each entry must not contain any material that would violate or infringe upon the rights of any person or entity, including without limitation copyrights, trademarks or rights of privacy or publicity, or that is defamatory, threatening, indecent, obscene or offensive, or that is unlawful, in violation of or contrary to any applicable laws or regulations, or which requires a license from any third party.
(ii) You have the express written consent of any identifiable persons appearing or referenced in your entry or entries to their Persona (as defined below) being used in the ways set out in these Official Rules, including Sponsor’s right to use your entry or entries for any future commercial purpose without restrictions. Upon request, you will obtain written consent of any such persons for Sponsor in the form identified by Sponsor. If any person appearing in any entry is under the legal age of majority in their jurisdiction of residence, the written consent and signature of a parent or legal guardian is required.
(iii) Except for the marks of the Sponsor (addressed below), the entry does not reference any person other than entrant, Team participants, or any names, products or services of any company or entity or any third-party trademarks, logos, copyrights, trade dress or promotion of any brand, product, or service. Sponsor grants you the limited permission to use its RED BULL mark in your entry solely for purposes of entering. You shall immediately cease any and all use of the RED BULL mark upon expiration or termination of this Contest.
(iv) Your entry is appropriate for public viewing. Without limiting the foregoing, your entry is not lewd, obscene, sexually explicit, pornographic, disparaging, defamatory, libelous, or otherwise contain content which Sponsor in its sole discretion decides is inappropriate or objectionable. Your entry or entries must also not disparage or cast a negative light on any person, entity, or brand, product, or service.
(v) Your entry complies with all of Sponsor’s requirements and terms regarding the use of its services.
Sponsor reserves the right in its sole discretion to not consider any entry for the Contest if it believes the entry violates or potentially violates any of the foregoing requirements or otherwise fails to comply with any provision of these Official Rules. You (and if entering as a Team, each participant of your Team) agree to indemnify and reimburse Sponsor and all other Released Parties (defined below) in full in respect of any losses, damages, and expenses, including reasonable legal fees (including, where permitted, reasonable attorney fees) that they may sustain from the breach of a representation or warranty made by you or the use of any rights granted by you to Sponsor hereunder. By entering, you (and if entering as a Team, each participant of your Team) warrant that your entry or entries comply with the requirements set out above including those at (i)–(v) above. By entering, you (and if entering as a Team, each participant of your Team) will and hereby do grant to Sponsor a perpetual, irrevocable, exclusive, worldwide, royalty-free, sub-licensable, freely assignable license to reproduce your entry and to otherwise use, exploit, copy, modify, adapt, edit, publish and display the entry in any form, manner, venue, media or technology now known or later developed for any and all purposes, including, without limitation, for purposes of commercial or trade purposes, advertising, and promotion as Sponsor and its licensees or assignees determine, without further compensation, notification, or permission. Further, by entering, you (and if entering as a Team, each participant of your Team) hereby waive any moral rights you may have in any entry in favor of the Sponsor.
By submitting your entry you (and if entering as a Team, each participant of your Team) also grant to Sponsor the worldwide, perpetual, irrevocable, fully sub-licensable, and freely transferable right, but not the obligation, to use any and all names, identities, titles, likenesses, distinctive appearances, physical likenesses, images, portraits, pictures, photographs (whether still or moving), screen personas, voices, vocal styles, statements, gestures, mannerisms, personalities, performance characteristics, biographical data, signatures, and any other indicia or imitations of identity or likeness listed, provided, referenced, or otherwise contained in the entry and/or image (all attributes, collectively, per person, a “Persona”) for purposes of advertising and trade, in any format, medium, or technology now known or later developed without further notice, approval, or compensation, unless prohibited by law.
SOCIAL VOTING:
During the Voting Period, members of the public will be able to visit the Website and cast a vote (each, a “Vote” and collectively, the “Votes”) for their favourite entry and/or entries, based on the criteria of feasibility, impact and creativity. VOTING LIMIT: There is a strict limit of one (1) Vote per person, per entry, per day (defined as 12:00:00 a.m. ET to 11:59:59 p.m. ET).
IMPORTANT NOTE: THE NUMBER OF VOTES RECEIVED PER ENTRY WILL BE REVIEWED AS PART OF THE JUDGING PROCESS (AS SET OUT IN THE WINNER SELECTION SECTION, BELOW), HOWEVER THE NUMBER OF VOTES RECEIVED WILL NOT ALONE DETERMINE WHETHER A PARTICIPANT/TEAM WILL BE SELECTED AS THE GRAND PRIZE WINNER. JUST BECAUSE A NUMBER OF VOTES MAY APPEAR ON A CONTEST LEADERBOARD OR OTHERWISE DOES NOT MEAN THAT THE PARTICIPANT/TEAM ASSOCIATED WITH THOSE VOTES IS OR WILL BE THE GRAND PRIZE WINNER. ANY OR ALL VOTES MAY BE VERIFIED BY THE SPONSOR IN ITS SOLE AND ABSOLUTE DISCRETION AT ANY TIME AND FOR ANY REASON. ANY SUCH PUBLIC DISPLAY OF VOTES IS FOR ENTERTAINMENT PROPOSES ONLY. ONLY THE SPONSOR CAN DEEM A PARTICIPANT/TEAM TO BE THE ELIGIBLE GRAND PRIZE WINNER, WHICH WILL BE DETERMINED IN ACCORDANCE WITH THE JUDGING PROCESS, SET OUT BELOW.
If it is discovered by the Sponsor (using any evidence or other information made available to or otherwise discovered by the Sponsor) that attempts were made by anyone to: (i) submit more than one (1) Vote per person, per day (as defined above); (ii) use multiple names, multiple identities, multiple email addresses, any automated, macro, script, robotic or other system(s) or program(s), and/or any other means not in keeping with the Sponsor’s interpretation of the letter and spirit of these Official Rules to submit Votes; (iii) engage in any form of systematic voting from the same computer/IP address; and/or (iv) engage in any form of proxy voting or other scheme; then it may result in the disqualification, in the sole and absolute discretion of the Sponsor, of the Votes, entry and/or participant(s) to which such Votes relate. Any Votes determined by Sponsor, in its sole and absolute discretion, to be in violation of the Sponsor’s interpretation of the letter and/or spirit of these Official Rules (including, without limitation, Votes that cannot be validated in accordance with these Official Rules to the complete satisfaction of Sponsor) are subject to disqualification. All Votes are subject to verification at any time and for any reason.
IMPORTANT NOTE: Individuals may encourage others to vote for an entry (e.g. via various social media sites and platforms); however, no form of incentive, inducement (including, without limitation, reciprocal voting sites and/or services), prize or chance of receiving any incentive, inducement, or prize may be offered as part of such encouragement in furtherance of receiving such individual’s Vote for any entry. In addition, proxy voting schemes (or anything reasonably resembling a proxy voting scheme, as determined by Sponsor in its sole and absolute discretion) are hereby expressly prohibited. Any individual determined by the Sponsor and/or its representative(s) to be engaging in any such behaviours and/or in violation of the Sponsor’s interpretation of the letter and/or spirit of these Official Rules (all as determined in the sole and absolute discretion of the Sponsor) will be disqualified, and the corresponding Votes, entry and/or participant is/are subject to disqualification in the sole and absolute discretion of the Sponsor.
Following the close of the Voting Period, the Sponsor will tabulate the final number of eligible Votes received per entry for consideration during the Judging Period, as set out below. Votes will not be able to be viewed by the public on the Website until after the close of the Voting Period.
WINNER SELECTION:
During the Judging Period, a panel of qualified judges selected in Sponsor’s sole discretion (the “Judging Panel”) will select one (1) grand prize winner (the “Grand Prize Winner” – which for certainty may be an individual, or if the winning entry was submitted by a Team, such Grand Prize Winner will be the Team and include each participant of such Team) from among the eligible entries.
The Judging Panel will judge and assign a score (each, a “Score”) to the entries received based on the following criteria (“Judging Criteria”): (a) 30% feasibility; (b) 30% impact; (c) 30% creativity; and (d) 10% number of Votes received.
The entrant (or Team) whose entry obtains the top Score will be selected as the Grand Prize Winner. The odds of being selected as the Grand Prize Winner depend on the number and calibre (based on the Judging Criteria) of eligible entries received. In the event of a tie between two or more entries based on Score, the entrant (or Team) associated with the entry – from amongst all such entries that are tied – with the highest Score on the creativity criterion (followed in the event of a further tie by the impact criterion, then feasibility criterion) will be deemed to have obtained the higher Score. In the event of an exact tie based on all criteria, a new panel of judges will be appointed by the Sponsor to break the tie in accordance with the preceding procedure. To be clear, the Judging Panel may review multiple entries that submit similar entries; in such a case, the Judging Panel may consider the timing of such entries in making its decision but will not be bound to designate as a potential winner the first submission of such similar entries.
The selected Grand Prize Winner is subject to the winner confirmation procedure below and verification of eligibility and compliance with these rules. Limit one (1) prize per person and per household.
GRAND PRIZE: Upon completing the winner confirmation procedure below and verification of eligibility and compliance with these Official Rules, the Grand Prize Winner (which for certainty includes each participant of a Grand Prize Winner Team, as applicable) will receive a prize package to participate with Sponsor’s advisors to develop the winner’s idea, mentorship opportunities, and an opportunity to participate virtually in the Red Bull Basement Global Workshop event in December 2021 (dates and prize details subject to change). Approximate retail value: $2,500 CAD.
NOTE: In the event that the Red Bull Basement Global Workshop event is held in-person and able to be attended by the Grand Prize Winner (subject to COVID-19 travel restrictions and other applicable circumstances, determined by the Sponsor in its sole and absolute discretion), the prize will include a trip for the Grand Prize Winner (which includes all participants on a Team, as applicable) to travel to and attend the Red Bull Basement Global Workshop event. As applicable, such prize trip must take place between December 11, 2021 or December 12, 2021 and December 16, 2021, or on such other dates as may be specified by the Sponsor in its sole and absolute discretion, and would include: (i) transportation (economy class) for the Grand Prize Winner (which includes each participant of a Grand Prize Winner Team, as applicable) to the Red Bull Basement Global Workshop event destination city from a Canadian location near the confirmed winner's residence (as determined by Sponsor in its sole and absolute discretion); (ii) accommodation for four or five (4 or 5) nights in a twin-room at a hostel/hotel determined by Sponsor in its sole and absolute discretion; and (iii) access to the Red Bull Basement Global Workshop event. Date and location of the Red Bull Basement Global Workshop event will be announced on the Website. If the prize includes a trip to attend the Red Bull Basement Global Workshop event in person, as determined by the Sponsor in its sole and absolute discretion, the total approximate retail value of the prize will be $3,500 CAD (if the Grand Prize Winner is an individual) and $4,500 CAD (if the Grand Prize Winner is a Team). Approximate retail values are based on a Toronto, Ontario departure example – although the actual retail value may vary depending on the point of departure. Without limiting the generality of the foregoing, the following general conditions apply to the prize trip: (i) all travel related to the prize must occur within the dates specified by the Sponsor (otherwise the prize may, in the sole and absolute discretion of the Sponsor, be forfeited in its entirety and, if forfeited, nothing will be substituted in its place); (ii) the confirmed winner (which, includes both participants on a Team) must: (a) travel on itinerary set by the Sponsor; and (b) have all necessary documentation to permit international travel and return to Canada; (iii) the costs of everything not specifically and expressly stated above as included in the prize are the sole and absolute responsibility of the confirmed winner (which, includes both participants on a Team), including, without limitation: meals and drinks; gratuities; entertainment; health and travel insurance; transportation to and from the Canadian departure location selected by the Sponsor; additional transportation; baggage and other fees; and items of a personal nature (NOTE: a participant may be required to present a valid major credit card in his/her name at the time of hotel check-in to cover any incidental expenses); (iv) if the confirmed winner (which, includes both participants on a Team) does not utilize any part(s) of the prize, then any such part(s) not utilized may, in the sole and absolute discretion of the Sponsor, be forfeited in their entirety and, if forfeited, nothing will be substituted in their place; (v) Sponsor reserves the right at any time to: (a) place reasonable restrictions on the availability or use of the prize or any component thereof; and (b) substitute the prize or a component thereof for any reason with a prize or prize component(s) of equal or greater retail value, including, without limitation, but solely at the Sponsor’s sole discretion, a cash award; (vi) all travel arrangements relating to the prize must be made through the Sponsor or its designated agents; (vii) it is strongly recommended and encouraged that the confirmed winner (which, includes both participants on a Team) obtain sufficient personal travel and medical insurance prior to departure; (viii) transportation is subject to availability, blackout periods, government restrictions and regulations and other transportation restrictions and regulations; (viii) choice of transportation, hotel accommodations (including, without limitation, room size and occupancy) and all other aspects of the prize are at the sole and absolute discretion of the Sponsor; (ix) prize is subject to potential changes due to COVID-19, travel restrictions, governmental or health authority orders, measures, directives or guidance in response to illness or risks, or due to any other cause of any kind or nature whatsoever beyond the commercially reasonable control of the Released Parties (in particular, flights are subject to change in case of postponement or relocation of the Red Bull Basement Global Workshop event due to COVID-19 or related travel restrictions); and (x) the Red Bull Basement Global Workshop event may be held on a different date or as an online event in case of COVID-19 or other restrictions (all information regarding a postponement or relocation will be announced on the Website).
For greater certainty and the avoidance of any doubt, if the Red Bull Basement Global Workshop event is held virtually or cannot be attended by the Grand Prize Winner (due to COVID-19 travel restrictions or other applicable circumstances, determined by the Sponsor in its sole and absolute discretion) the prize will not include a trip for the Grand Prize Winner to attend the Red Bull Basement Global Workshop event in-person, and under no circumstances whatsoever will any difference between the approximate retail value of the prize including the trip to attend the Red Bull Basement Global Workshop event in-person and the approximate retail value of the prize, excluding the trip, to attend the Red Bull Basement Global Workshop event virtually (as set out above) be awarded to the Grand Prize Winner. All decisions of the Sponsor in this regard will be final and binding without right of appeal.
The prize is awarded “AS IS.” Neither Sponsor nor Released Parties (defined below) make or offer any warranty or guarantee, either express or implied (including, without limitation, quality, merchantability, and fitness for a particular purpose) in connection with this Contest or the prize. No issuer of any aspect of the offered prize is sponsoring this Contest. Prize details and availability are subject to change, in which case a prize of equal value may be substituted at Sponsor’s sole discretion (subject to the applicable value of the prize, in accordance with the prize details above). Prizes consist only of the items listed, are non-transferable, with no cash redemption or substitution except at Sponsor's sole discretion. Sponsor will determine all prize details (brand, model, size, etc.) in its sole discretion. Federal, provincial/territorial or local taxes on prizes, if any, and any other costs, fees or expenses not listed above are the sole responsibility of each winner. To the fullest extent permitted by applicable law, the confirmed Grand Prize Winner (which, includes all participants on a winning Team, as applicable) understands and acknowledges that he or she may not seek reimbursement or pursue any legal or equitable remedy from either the Sponsor or any of the other Released Parties (defined below) should the prize fail to be fit for its purpose or is in any way unsatisfactory. For greater certainty and the avoidance of any doubt, by accepting the prize, the confirmed Grand Prize Winner (which, includes all participants on a winning Team, as applicable) agrees to waive all recourse against the Sponsor and all of the other Released Parties (defined below) if the prize or a component thereof does not prove satisfactory, either in whole or in part. Under no circumstances whatsoever will any difference between the actual and approximate retail values be awarded.
The Released Parties (defined below) are not responsible for any delay, postponement, suspension, rescheduling or cancellation, for any reason (including without limitation, due to illness or health risks, or any governmental or health authority orders, measures, directives or guidance in response to such illness or risks, such as, without limitation, those that may be implemented to mitigate COVID-19 transmission, or due to any other cause of any kind or nature whatsoever beyond the commercially reasonable control of the Released Parties), of any aspect of the prize – including, but not limited to any element(s) associated with the Red Bull Basement Global Workshop event (whether held virtually, or in-person). The Sponsor and all other Released Parties are not obligated to refund or offer compensation to the confirmed Grand Prize Winner (which, includes all participants on a Team, as applicable) nor any other person or entity in the event of the cancellation or delay of any portion of the prize, or any portion thereof. Sponsor will not be liable if the event, or any portion of it, is cancelled or delayed. Sponsor may, in its sole discretion, attempt to reschedule for a future event, or substitute the applicable prize or portion of the applicable prize as set out above. The terms and conditions of any event tickets may govern if the event is cancelled due to weather, health risks, an act of God, an act of terrorism, civil disturbance or any other reason. Sponsor is not responsible for, and will not replace, lost, mutilated, or stolen event tickets, vouchers, wristbands, or certificates. Exact details, including seat locations, shall be determined in the sole discretion of Sponsor.
RED BULL BASEMENT GLOBAL WORKSHOP EVENT & WILDCARD WINNERS: Red Bull GmbH (“RB GmbH”) is hosting a worldwide competition (the “World Contest”), scheduled to end 15 December 2021, 11:00:00 am UTC, whereby the confirmed winners from select countries around the world (including the confirmed winner from the Contest in Canada) (collectively, the “Confirmed Winners”) will compete by pitching their Idea for up to two (2) minutes at the event. As part of the World Contest, RB GmbH will also select two (2) wildcard winners (the “Wildcard Winners”) based on Score, from among all entries received from such select countries around the world (including the entries received from Canada) but excluding the Confirmed Winners, to compete in the World Contest with the Confirmed Winners. By participating in the Contest, each participant/Team hereby confirms that his/her entry will be automatically entered in the World Contest for the selection of such Wildcard Winners. The total value of the prize for each Wildcard Winner in the World Contest will not exceed EUR 4,000.00 (four thousand euros) or an equivalent amount of any applicable local currency (before any applicable tax) per team (odds depend on the number and calibre (based on the Judging Criteria) of applicable entries received). If a selected Wildcard Winner is a participant/Team from Canada, such Wildcard Winner will be required to complete the same winner confirmation procedure set out in these Official Rules below. The winner of the Global Contest will be announced on stage during the event. The total value of the prize in the World Contest will not exceed EUR 4,000.00 (four thousand euros) or an equivalent amount of any applicable local currency (before any applicable tax) per team. IMPORTANT NOTE: the World Contest is being sponsored, administered and fulfilled by RB GmbH in its sole and absolute discretion. The Sponsor has no involvement whatsoever in the sponsorship, administration and/or fulfillment of the World Contest. The Sponsor is hereby disclaims any and all liability in relation to the World Contest to the fullest extent permitted by applicable law. NOTIFICATION: The potential Grand Prize Winner will be notified via direct message on or about November 2, 2021. The Sponsor or its designated representative will make a minimum of three (3) attempts to contact the eligible winner within forty-eight (48) hours of the start of the Winner Announcement Period. If the potential Grand Prize Winner cannot be contacted or does not respond to the notification within such time, as determined solely by Sponsor, such Grand Prize Winner may, in the sole and absolute discretion of the Sponsor, be disqualified (and, if disqualified, will forfeit all rights to the prize) and the Sponsor reserves the right to select an alternate eligible participant/Team from among the remaining entries based on the next highest Score (as determined by the Sponsor in its sole and absolute discretion) to be the eligible Grand Prize Winner (in which case the foregoing provisions of this section shall apply to such newly selected eligible Grand Prize Winner). .
WINNER CONFIRMATION: NO ONE IS A WINNER UNLESS AND UNTIL THE SPONSOR OFFICIALLY CONFIRMS HIM/HER AS A WINNER IN ACCORDANCE WITH THESE RULES. BEFORE BEING DECLARED AS A CONFIRMED WINNER, the eligible Grand Prize Winner (which, includes all participants on a Team, as applicable) will be required to: (a) correctly answer a mathematical skill-testing question without mechanical or other aid (which may, in the sole and absolute discretion of the Sponsor, be administered online, by email or other electronic means, by telephone, or in the Sponsor’s form of declaration and release); and (b) sign and return within two (2) business days of notification the Sponsor’s declaration and release form, which (among other things): (i) confirms compliance with these Rules; (ii) acknowledges acceptance of the prize (as awarded); (iii) releases the Released Parties (defined below) from any and all liability in connection with this Contest, his/her participation therein and/or the awarding and use/misuse of the prize or any portion thereof (including, but not limited to, any travel related thereto); and (iv) agrees to the publication, reproduction and/or other use of his/her name, city and province/territory of residence, voice, statements about the Contest and/or photograph or other likeness without further notice or compensation, in any publicity or advertisement carried out by or on behalf of the Sponsor in any manner or medium whatsoever, including print, broadcast or the internet. If the eligible Grand Prize Winner (which, includes all participants on a Team, as applicable): (a) fails to correctly answer the skill-testing question; (b) fails to return the properly executed Contest documents within the specified time; (c) cannot accept (or is unwilling to accept) the prize for any reason; and/or (d) is determined to be in violation of these Official Rules (all as determined by the Sponsor in its sole and absolute discretion); then he/she will be disqualified (and will forfeit all rights to the prize) and the Sponsor reserves the right, in its sole and absolute discretion and time permitting, to select an alternate eligible participant/Team from among the remaining entries based on the next highest Score (as determined by the Sponsor in its sole and absolute discretion) to be the eligible Grand Prize Winner (in which case the foregoing provisions of this section shall apply to such newly selected eligible winner).
TO BE ELIGIBLE TO BE DECLARED THE GRAND PRIZE WINNER, AND AS DIRECTED BY SPONSOR, YOU/YOUR TEAM MUST LICENSE ALL INTELLECTUAL PROPERTY RIGHTS THAT YOU DO OR MAY HAVE IN THE ENTRY TO SPONSOR. BY ENTERING POTENTIAL GRAND PRIZE WINNER EXPRESSLY AGREES TO COMPLETE ALL PAPERWORK THAT MAY BE REQUIRED TO COMPLETE THIS TRANSFER (THE “INTELLECTUAL PROPERTY LICENSE”) BEFORE HE OR SHE WILL BE PERMITTED TO CLAIM ANY PART OF THE PRIZE OR BE DECLARED THE WINNER.
PUBLICITY & MARKETING: Submission of an entry and/or Idea in the Contest constitutes permission, but not the obligation, to the Sponsor to use entrants’ (and if entering as a Team, each Team participants’) name, identity, title, likeness, distinctive appearance, physical likeness, image, portrait, picture, photograph (whether still or moving), screen persona, voice, vocal style, statements, gesture, mannerism, personality, performance characteristic, biographical data, signature, and any other indicia or imitation of identity or likeness for purposes of advertising and trade, in any medium, without further notice, approval, or compensation, unless prohibited by law. Submission of personal information in connection with this Contest (whether or not required), including, without limitation, mailing address, phone number, email address, etc. during entry constitutes permission and express consent for Sponsor its agents and/or representatives, storing, sharing and using such entrant’s (and if entering as a Team, each Team participants’) personal information for purposes of administration of the Contest. This section does not limit any other consent(s) that an individual may provide the Sponsor or others in relation to the collection, use and/or disclosure of their personal information. You also may opt-in to be added to Sponsor’s customer database and to permit Sponsor to contact you in the future for promotional and other reasons. You may opt-out of receiving such communications as set forth in Sponsor’s Privacy Policy (located athttps://policies.redbull.com/policies/RedBull.com_Canada/201807111103/en_CA/privacy.html). ) or as provided within any such marketing materials (e.g., using the “Unsubscribe” feature provided in the footer of Sponsor’s e-mails). You understand that you are providing your information to Sponsor. The information you provide to Sponsor will only be used in accordance with Sponsor’s Privacy Policy (available at: https://policies.redbull.com/policies/RedBull.com_Canada/201807111103/en_CA/privacy.html).
NO LIABILITY & INDEMNIFICATION: By entering this Contest, you (and if entering as a Team, each participant of your Team) agree to release, discharge and hold harmless Sponsor, Sponsor Affiliates, and their respective directors, officers, employees, agents, successors and assigns (the “Released Parties”) from any claims, losses, and damages arising out of, or relating to, your/your Team’s participation in this Contest or any Contest-related activities and the acceptance and use, misuse, or possession of any prize awarded hereunder (including, without limitation, any misrepresentation made by you/your Team in connection with the Contest; the failure of any entry, Vote and/or other information to be received, captured or recorded for any reason whatsoever, including, but not limited to, technical problems or traffic congestion on the internet or at any website; any non-compliance by you/your Team with these Official Rules; claims brought by persons or entities other than the parties to these Official Rules arising from or related to your/your Team’s involvement with the Contest; acceptance, possession, misuse or use of any prize or participation in any Contest-related activity or participation in this Contest; any malfunction, error or other problem arising in connection with the collection, processing, or retention of entry information; or any typographical or other error in the printing, offering or announcement of any winner). The foregoing includes, without limitation, any claim for personal injury, property loss or damage, or death arising in any way in connection with the Contest.
If Sponsor’s use of your entry causes Sponsor to be subject to a claim by any third party (including, but not limited to, a claim of infringement), you (and if entering as a Team, each participant of your Team) agree to indemnify and hold harmless the Released Parties, and all persons acting by, through, under or in concert with them, against any and all damages, costs, judgments and expenses (including reasonable attorney’s fees) which the Released Parties (or any one of them) may incur as a result of the use of your/your Team’s entry.
OTHER TERMS: Decisions of Sponsor on all matters related to the Contest are final and binding. Sponsor reserves the right subject only to the approval of the Régie des alcools, des courses et des jeux (the “Régie”) in Quebec, to cancel or modify the Contest for any reason, including but not limited to, if fraud, misconduct or technical failures destroy the integrity of the Contest, as may be required due to health risks or governmental restrictions (such as those that may be implemented to mitigate COVID-19 transmission), or if a computer virus, bug, or other technical problem corrupts the administration, security, or proper administration of the Contest as determined by Sponsor, in its sole discretion. Sponsor reserves the right, in its sole and absolute discretion, to administer an alternate test of skill as it deems appropriate based on the circumstances and/or to comply with applicable law. Sponsor reserves the right to disqualify or prohibit the participation of an individual if fraud or tampering is suspected, or if the individual fails to comply with any requirement of participation or with any provision in these Official Rules. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE OR UNDERMINE THE OPERATION OF THIS CONTEST MAY BE A VIOLATION OF CRIMINAL & CIVIL LAWS. SPONSOR RESERVES THE RIGHT TO DISQUALIFY AND/OR SEEK DAMAGES FROM ANY INDIVIDUAL MAKING ANY SUCH ATTEMPTS TO THE FULL EXTENT PERMITTED BY APPLICABLE LAW.
In the event of any discrepancy or inconsistency between the terms and conditions of these English Rules and disclosures or other statements contained in any Contest-related materials, including, but not limited to: the French version of these Rules, point of sale, television, print or online advertising and/or any instructions or interpretations of these Rules given by any representative of the Sponsor; the terms and conditions of these English Rules shall prevail, govern and control to the fullest extent permitted by law.
GOVERNING LAW & MANDATORY ARBITRATION: To the fullest extent permitted by applicable law, any disputes arising under this Contest and/or these Official Rules will be governed by relevant Canadian federal statutes and regulations and the domestic laws of the Province of Ontario without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other jurisdiction’s laws. The parties hereby consent to the exclusive jurisdiction and venue of the courts located in Ontario in any action to enforce (or otherwise relating to) these Rules or relating to this Contest.
RIGHT TO DISQUALIFY: Sponsor reserves the right to disqualify or prohibit the participation of an individual if fraud or tampering is suspected; if the individual fails to comply with any requirement of participation or with any provision in these Official Rules; if the individual’s behavior or communication at any point is disruptive, may or does cause damage or to any person, property, or reputation of Sponsor, or is otherwise not in accordance with all applicable laws and generally accepted social practices as determined in Sponsor’s sole discretion.
SEVERABILITY: If any provision(s) of these Official Rules are held to be invalid or unenforceable, all remaining provisions hereof will remain in full force and effect.
FOR QUEBEC RESIDENTS: Any litigation respecting the conduct or organization of a publicity contest may be submitted to the Régie des alcools, des courses et des jeux for a ruling. Any litigation respecting the awarding of a prize may be submitted to the board only for the purpose of helping the parties reach a settlement.
VERIFICATION: All entries, Votes, entry materials, and participants are subject to verification at any time and for any reason. The Sponsor reserves the right, in its sole and absolute discretion, to require proof of identity and/or eligibility (in a form acceptable to the Sponsor – including, without limitation, government issued photo identification): (i) for the purposes of verifying an individual’s eligibility to participate in this Contest; (ii) for the purposes of verifying the eligibility and/or legitimacy of any entry, Vote and/or other information for the purposes of this Contest; and/or (iii) for any other reason the Sponsor deems necessary, in its sole and absolute discretion, for the purposes of administering this Contest in accordance with the Sponsor’s interpretation of the letter and spirit of these Rules. Failure to provide such proof to the complete satisfaction of the Sponsor within the timeline specified by the Sponsor may result in disqualification in the sole and absolute discretion of the Sponsor.
